Welcome to Foodclub! These Terms of Service ("Terms") govern your use of the Foodclub mobile application (the “App”), our website located at www.foodclub.app (the “Site”), and any other services provided by Foodclub.app, LLC (“we,” “us,” or “our”).

By using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.

1. Eligibility

You must be at least 13 years old (or 16 in some jurisdictions) to use Foodclub. If you're under the required age, you may only use the App with consent from a parent or legal guardian.

2. Accounts and Registration

• You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account.
• We may suspend or terminate your account if we suspect unauthorized use or violation of these Terms.

3. Use of the App

You agree to use the App and Site only for lawful purposes and in accordance with these Terms.

You may not:

• Access or use the services for any unlawful or fraudulent purpose
• Interfere with the operation or security of the App or Site
• Copy, distribute, or reverse-engineer any part of the App or Site
• Use automated scripts or bots without our permission

4. Deals, Offers, and Clubs

Foodclub provides access to discounts, food deals, and club-based promotions. While we strive for accuracy, we do not guarantee:

• Availability or accuracy of third-party offers
• That promotions will be honored by third-party merchants
• That prices, availability, or offers won’t change without notice

Foodclub is not liable for any transaction or interaction you have with third-party merchants.

5. Payments and Subscriptions

Some features may be available via in-app purchases or subscriptions. All payments are processed securely via Apple, Google, or third-party providers like Stripe.

Subscription terms (e.g., renewals, cancellations) are governed by the platform used (App Store or Google Play).

6. Intellectual Property

All content on the App and Site — including text, graphics, logos, icons, images, audio, and software — is owned by or licensed to Foodclub.app, LLC and is protected by copyright and intellectual property laws.

You may not use, copy, or reproduce any part of the service without prior written permission.

7. Termination

We reserve the right to suspend or terminate your access at any time, without notice or liability, for any reason, including violation of these Terms.

You may stop using our services at any time by deleting your account or uninstalling the app.

8. Disclaimers

Foodclub is provided "as is" and "as available." We make no guarantees about the accuracy, availability, or functionality of the App or Site.

We disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Foodclub.app, LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the App or Site.

Our total liability shall not exceed the amount you paid (if any) in the past 12 months.

10. Indemnification

You agree to indemnify and hold harmless Foodclub.app, LLC and its affiliates, employees, and partners from any claims, damages, or expenses arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Delaware, unless otherwise required by applicable law.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we’ll update the “Effective Date” and, if required, notify you through the App or email. Continued use of our services after changes means you accept the new Terms.
